I think it's so if you're playing in the same game as your friend and you die, you can't tell him where you died at. If you were in a party, then you could tell him right away.

And not just that, in SnD you have yet he option of free cam when you die so having party chat allowed would allow for members of the same party and team to pinpoint and point out members of the opposing team which would then give somewhat of an unfair advantage. Especially if you had someone in your party spectating the game rather than dying all the time.

My guess is sense CoD4 was based around PC (it was made for PC then transferred over to other consoles) they didn't do a lot for consoles, didn't see it that big of a deal. People could have complained, or the designers could have just caught it with MW2 sense it was designed for consoles. I mean it is a design flaw, I'd get upset too if the only reason I died was because some cool cats were in party chat. I know in MW2 you can do private chat still, never tried it in MW3 though.

yea u CAN do it in MW3 but i mean yea i guess all of ur team could just split into pairs of 2 and all of u can use private chat to point out memebers of the opposition

Yeah, but you can only talk to the guy you're in private chat with. So you can't tell anyone else other than him. I only used private chat when I was playing with a friend and we didn't feel like listening to everyone in the lobby cry and complain like they always do lol.
